1. Acceptance of Terms

By accessing or using the Platform, creating an account, listing an institute, submitting an inquiry, or posting a review, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms apply to students, parents/guardians, institute owners/admins, employees with access, and visitors.

2. About the Platform

VidhyaNex is an education discovery and counselling support platform that helps users:

• Search and explore schools, colleges, coaching classes, and preschools;
• Compare institutes, save favourites, and read reviews;
• Send inquiries or counselling requests to institutes;
• Allow institutes to create listings, manage leads, and engage prospective students.

VidhyaNex is a technology intermediary/information platform. Unless expressly stated otherwise, we do not operate the institutes listed, do not guarantee admissions, placements, fees, seats, or outcomes, and are not a party to any admission or fee agreement between you and an institute.

3. Eligibility

• You must be competent to contract under applicable Indian law.
• If you are under 18 (or under the age of majority where you live), you may use the Platform only under supervision of a parent or legal guardian who accepts these Terms on your behalf.
• Institute owners represent that they are authorised to list and manage the institute on the Platform.

4. Accounts and registration

• You agree to provide true, accurate, and up-to-date information.
• You are responsible for safeguarding login credentials (including Google Sign-In access on your device) and for all activity under your account.
• Notify us promptly of any unauthorised use of your account.
• We may suspend or terminate accounts that provide false information, impersonate others, or misuse the Platform.

On registration or inquiry, you understand that institutes you contact (or that respond to a legitimate lead generated from your interest) may reach you by phone, SMS, WhatsApp, or email regarding admissions and related information.

5. Permitted use

You may use the Platform only for lawful, personal, non-abusive educational discovery and related communication (or, for institutes, bona fide listing and lead management). You agree not to:

• Scrape, crawl, copy, or harvest Platform data, images, or listings at scale without written permission;
• Reverse engineer, disrupt, overload, or attempt unauthorised access to systems;
• Upload malware, spam, or deceptive content;
• Post defamatory, obscene, hateful, discriminatory, or illegal content;
• Infringe intellectual property, privacy, or publicity rights of others;
• Misrepresent affiliation with VidhyaNex or any institute;
• Use the Platform to harass students, parents, or institute staff;
• Violate any applicable law, including IT and data-protection laws in India.

6. Institute listings and content accuracy

• Institute profiles, fees, facilities, faculty, results, and media may be provided by institutes or compiled from available sources. Information can change without notice.
• Users should independently verify critical details (fees, eligibility, affiliation, recognition, scholarships, hostel, placements, etc.) with the institute before deciding.
• Institutes are responsible for the accuracy and legality of content they submit and for handling student inquiries in compliance with law.
• VidhyaNex may edit, hide, or remove listings or content that appear inaccurate, incomplete, misleading, outdated, or non-compliant, without liability.

7. Reviews and user content

If you post reviews, comments, photos, or other content (“User Content”), you grant VidhyaNex a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute that content on the Platform and in related marketing, with attribution where appropriate.

You represent that your User Content is truthful to the best of your knowledge, based on genuine experience where claimed, and does not violate others’ rights. We may moderate, refuse, or remove User Content at our discretion, including fake, abusive, or promotional reviews.

8. Inquiries, leads, and communications

• When you submit an inquiry or similar request, you authorise VidhyaNex to share relevant details with the selected institute(s) so they can contact you.
• Institutes may contact you about programs, admissions, visits, and related offers.
• Transactional messages (password resets, account alerts) are part of the service. Marketing messages will respect applicable consent/opt-out rules where required.

9. Intellectual property

The Platform design, logos, trademarks, software, databases, and original content are owned by VidhyaNex or its licensors. You may not copy, modify, distribute, or create derivative works except as expressly allowed for personal non-commercial use of publicly available pages, without removing proprietary notices.

Institute names and logos remain the property of their respective owners and are used for identification/information purposes.

10. Third-party services and links

The Platform may integrate or link to third-party services (maps, Google authentication, notification providers, institute websites, social networks, etc.). Your use of those services is subject to their own terms and privacy policies. VidhyaNex is not responsible for third-party sites or services.

11. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

Without limiting the above:

• We do not guarantee admission to any institute or accuracy of every listing field;
• We are not responsible for institute decisions, counselling quality after handover, fee disputes, or academic outcomes;
• VidhyaNex is not affiliated with or endorsed by any government education authority unless expressly stated.

12. Limitation of liability

To the maximum extent permitted by law, VidhyaNex and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from your use of the Platform.

Our total aggregate liability for claims relating to the Platform shall not exceed the amount you paid to VidhyaNex (if any) for the specific paid service giving rise to the claim in the three (3) months preceding the claim, or INR 1,000, whichever is higher. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

13. Indemnity

You agree to indemnify and hold harmless VidhyaNex from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Platform, your User Content, your breach of these Terms, or your violation of any law or third-party rights.

14. Suspension and termination

We may suspend or terminate access, remove content, or restrict features if we believe you breached these Terms, created risk/harm, or as required by law. You may stop using the Platform at any time. Provisions that by nature should survive (IP, disclaimers, liability limits, indemnity, governing law) will survive termination.

15. Changes to the Terms

We may update these Terms periodically. The “Last updated” date will be revised accordingly. Continued use after changes constitutes acceptance, except where additional consent is legally required. Material changes may also be notified via the Platform or email where appropriate.

16. Governing law and disputes

These Terms are governed by the laws of India. Subject to applicable law, courts at a competent jurisdiction in India shall have exclusive jurisdiction over disputes arising from these Terms or the Platform. Parties shall first attempt good-faith resolution by contacting support.

17. Miscellaneous

• If any provision is held unenforceable, the remaining provisions continue in effect.
• Failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
• These Terms, together with the Privacy Policy and any product-specific notices, form the entire agreement regarding the Platform.
